UNOFFICIAL TRANSLATION: EBI Report 1/2019

Short name of the issuer: i2 Development S.A.
Subject: i2 Development Spółka Akcyjna Report on incidental violation of Good Practices

Acting pursuant to § 29 para. 3 of the Stock Exchange Regulations, the Management Board of i2 Development S.A. ("Company", "Issuer") reports on the non-compliance with the detailed rules contained in the "Best Practices of Companies Listed on the Warsaw Stock Exchange 2016"
Information policy and communication with investors
"I.Z.1.20. record of the proceedings of the general meeting, in the form of audio or video "
The principle was violated incidentally.
Company’s comment regarding incidental violation of the above rule:
Acting pursuant to § 29 para. 3 of the Regulations of the Warsaw Stock Exchange S.A. and in connection with the Ordinary General Meeting of Shareholders held on June 12, 2019 with the Ordinary General Meeting of Shareholders, the Management Board of i2 Development S.A. with its registered office in Wrocław informs that during the Ordinary General Meeting of the Issuer’s Shareholders convened for June 12, 2019, the course of the General Meeting in the form of audio was not registered. The situation in question is a derogation from the principle of Best Practices of Companies Listed on the Warsaw Stock Exchange 2016 contained in item I.Z.1.20. concerning publishing on the company’s website a record of the course of the general meeting, in the form of audio or video.
Despite the failure to apply the aforementioned principle, in the Company’s opinion, the procedures implemented by the Company regarding the convening and the course of the general meeting, including the notary’s participation, provide shareholders with access to all relevant information about the general meeting and allow the shareholder to decide on participation in the general meeting . At the same time, the Management Board of the Company informs that none of the current shareholders has submitted a request for registration of the course of the General Meeting. The derogation from the application of the above principles of the "Best Practices of WSE Listed Companies 2016" does not constitute a reduction of shareholders’ rights related to participation in the General Meeting. Consequently, considering the number of shareholders who participated in the Ordinary General Meeting of the Issuer’s Shareholders, as well as the costs related to the registration of the proceedings, the Management Board of the Company decided to derogate from the aforementioned principle.
